Pinnacle Entertainment Announces Closing of Exchange Offer

LAS VEGAS, July 27 /PRNewswire-FirstCall/ -- Pinnacle Entertainment, Inc. (NYSE: PNK) today announced that it has closed an offer, whereby it has exchanged $450 million aggregate principal amount of 8.625% Senior Notes due 2017, which have been registered under the Securities Act of 1933, as amended, for an equal principal amount of its outstanding 8.625% Senior Notes due 2017, upon the terms and subject to the conditions set forth in the prospectus, dated June 24, 2010, and the related letter of transmittal, including any amendments or supplements thereto.

A registration statement relating to the exchange offer was filed with and declared effective by the Securities and Exchange Commission. This press release is not an offer to sell or a solicitation of an offer to buy any security. The offer to exchange was made solely by means of a prospectus.
