The U.S. Justice Department is advising British finance officials the principals behind an upcoming initial public offering are subject to U.S. prosecution.

Ruth Parasol, a New York lawyer and daughter of a massage parlor tycoon, her husband and two Indian computer experts are behind PartyGaming's planned June 27 IPO, estimated to be worth as much as $8.68 billion, the Guardian reported Thursday.

PartyGaming's prospectus concedes its activities are considered to be illegal by the relevant authorities in the United States but says case law has established that online poker sites are excluded from the legislation controlling gambling.
